RepostExchange Terms of Use

1. These Terms

About us. Hello. We’re Audiu Ltd., our company number is 8604114 and our registered office is at Unit 4a, Tileyard Studios, London, N7 9AH. We operate RepostExchange, a web platform at https://repostexchange.com/ and mobile app which helps artists to grow their SoundCloud following organically, meet like-minded creators and increase engagement on their tracks via the exchange of credits (‘RepostExchange’).

These Terms. These terms and conditions set out the terms on which we agree to provide you with access to and use of RepostExchange (the ‘Terms’). By accessing RepostExchange, you’re entering into a legally binding contract with us on the basis of these Terms.

Updates. We may change these Terms sometimes to make updates to our services, for legal or regulatory changes or to prevent abuse or harm. For significant updates, we’ll let you know in advance. For everything else, the changes will take effect as soon as they’re posted on our website. If you continue to use RepostExchange after these updates, we’re allowed to assume you agree to the updated Terms.

Permission. You have permission for temporary, non-exclusive use of the RepostExchange platform. We reserve the right to withdraw or change RepostExchange at any time without notifying you and without having any legal responsibility towards you.

2. RepostExchange

SoundCloud. RepostExchange is a community of SoundCloud creators and we rely on SoundCloud’s API to provide our services. You must have a SoundCloud account to access and use RepostExchange – if you don’t, you can’t use the platform. However, you should note that we’re completely independent of SoundCloud - we’re not affiliated with or endorsed by them in any way and we don’t claim to have any rights to their intellectual property.

How it works. When you sign up for RepostExchange, we ask you to provide authenticated access to your SoundCloud account. This enables us to perform a limited number of actions on your behalf on your SoundCloud profile which mirror your activity on the RepostExchange platform. For example, when you repost a track using RepostExchange, that track will be reposted to your SoundCloud profile. Don’t worry, we won’t do anything to your SoundCloud profile without your permission - only when you manually repost, follow or like on the RepostExchange platform will the same happen on your SoundCloud profile.

Credits. The RepostExchange platform is underpinned by the exchange of credits. There are various ways to earn credits on the platform, including:

  • Direct requests. Accepting requests from other members to repost their tracks.
  • Repost campaigns. Reposting tracks posted under a Repost Campaign.
  • Referrals. A new member signs up using your personal URL. Referrals must be creators and they must be active on SoundCloud.

You can also spend credits within the platform, including by:

  • Direct requests. Sending direct requests to other members to repost your tracks. Reposts cost 1 credit per 100 followers (rounded up) the reposting member has. If they choose not to repost your track or the request expires after 24 hours, the credits will be returned to you.

We can change the ways you can earn or spend credits, or the amount of credits you can earn or spend for each activity, at any time without letting you know in advance. You should read our FAQs for the most up-to-date details on how you can earn and spend credits.

Platform purchases. You can also purchase the following within the RepostExchange platform using your credit, debit card or crypto:

  • Managed Campaigns and Sponsored Follow Campaigns. These become active immediately and are non-refundable. Read our FAQs for full details about Campaigns.
  • Credit packs. If you buy a credit pack via our website or Google Play store app and change your mind about your purchase within 14 days, you can get a refund, but not if you’ve already started to use the credits. If you buy a credit pack via the Apple App Store app, we’re unable to refund you even if you do change your mind but you can request a refund directly from Apple.

Repost restrictions. You’re restricted to reposting 10 tracks per 12 hours, so choose wisely! If you repost a track, it must stay on your SoundCloud profile for 48 hours, otherwise the credits you’ve earned for reposting the track will be returned to the track creator.

FollowScore. It’s important for us to maintain the integrity of RepostExchange and that means making sure followers are genuine. At our discretion, your account may be processed and reviewed by our FollowScore algorithmic system (or any other system we decide to use). If it finds any inactive or fake accounts, your credit earnings will be reduced by the number of non-legitimate accounts it finds and we may restrict your access to certain features on the platform.

3. Subscriptions

Our plans. We offer a range of different plans, some of which are chargeable (‘Paid Plans’). You can check out our Plans page for specific features and monthly fees for Paid Plans. We may change the features of our plans at any time and for any reason.

Paid Plans. Paid Plans roll month-to-month (each month being a ‘Subscription Period’) and will automatically renew at the end of each Subscription Period unless you cancel your Paid Plan. Subscription fees are charged monthly: the first payment will be taken on the day you purchase the Paid Plan and will be charged on the same date each month. We’ll let you know in advance about any changes to subscription fees and changes will only take effect in the following month. By continuing to use RepostExchange after the subscription fee change takes effect, we’re allowed to assume you’ve accepted the new subscription fee.

Upgrades and downgrades. You can upgrade to a Paid Plan or downgrade your account at any time. If you’re upgrading, you’ll be billed a pro rata amount for the period of the upgrade. If you’re downgrading, you’ll be billed for the full month in which you’ve opted to downgrade but not afterwards.

Cooling off period. If you buy a Paid Plan via our website and change your mind about your purchase within 14 days, you can get a refund, but not if you’ve already logged in and started to use the plan.

Cancelling Paid Plans. You can cancel your Paid Plan at any time. The cancellation will take effect the day after the last day of the current Subscription Period. If you cancel after the cooling off period, you won’t receive a refund for any subscription fees you’ve already paid.

Reselling / Product Promotion. Accounts identified (at our discretion) as being reseller accounts - those which use RepostExchange as a tool to provide paid-for promotional services to third parties, to promote paid-for products (such as sample packs, beats or tutorials) or to promote music solely from third party accounts must maintain an active Promoter or Ultimate pro plan in order to earn credits through reposting campaigns. Reseller accounts without an active Promoter or Ultimate plan will be restricted from earning credits via reposting campaigns.

4. Your obligations

In order to access and use RepostExchange, you must:

  • Be old enough. Be old enough to use SoundCloud according to their Terms of Use. That means being 18 years of age, or, if younger, 16 years of age in the EU and 13 years of age everywhere else.
  • Have a SoundCloud account. Have an active SoundCloud account and comply at all times with SoundCloud’s Terms of Use and any other terms which SoundCloud requires you to comply with.
  • Keep details safe and confidential. Keep all security credentials safe and not share them with anyone else. If we think you have failed to keep confidentiality, we may disable any such information, including your passwords and other codes.
  • Keep your information updated. Keep your personal and billing information (where applicable) accurate and up to date.
  • Use RepostExchange responsibly. Generally use the platform responsibly and respectfully.

5. Your conduct

When using RepostExchange, you must behave respectfully, lawfully and appropriately and not abuse the platform in any way. In particular, you will not:

  • Create multiple accounts. Create more than one account for commercial or illegitimate purposes. You’re also not allowed to create or encourage others to create fake accounts.
  • Harm others. Use the platform to abuse, harm, harass or exploit others, collect information about them or distribute spam.
  • Infringe IP rights. Do anything that infringes on the intellectual property rights of any other person.
  • Misrepresent yourself. Use any platform or service to misrepresent yourself or your following on RepostExchange or Soundcloud. This includes artificially increasing the number of followers you have through the use of (but not limited to):
    • 3rd party services which sell followers
    • Download gates where the incentivised download is not your own material
    • Follow for Follow (F4F) sites
  • Commit criminal offences. Do anything that is a criminal offence under the Computer Misuse Act 1990 (for example, by introducing viruses, Trojans and other technologically harmful or damaging material) or otherwise. If you do, we’ll report you to the authorities and provide them with your identity details.
  • Interfere with the platform. Interfere with or damage any part of our platform, equipment, network, software or storage arrangements or attempt to reverse engineer, data scrape, script, automate, copy or re-sell the platform, website or any part of either.

If you do any of the above or anything else that we reasonably believe is harmful or abusive, we may suspend or close your account without notice or liability to you.

Interactive services. Where we provide use of interactive services, we’ll give you clear information about the services and will moderate them if we think it’s appropriate. However, we’re not required to moderate any interactive services and we won’t be responsible for any loss or damage to anyone who doesn’t use RepostExchange according to our standards (whether or not we have moderated the service).

6. Data Protection

Your personal information. We’ll use the personal information you provide to us to:

  • allow you to use RepostExchange,
  • process any payments for credit packs or Paid Plans, or
  • to give you information about similar products we provide, but only if you agreed to this when you made any purchases and you can unsubscribe at any time.

7. Intellectual property

Intellectual property. All intellectual property rights in the RepostExchange platform and services are owned by us and remain owned by us. You’re not allowed to reproduce or store any part of the RepostExchange platform, services or marks in any way without our prior written permission.

8. No warranty

Disclaimer. Except for anything we’ve expressly set out in these Terms, we don’t make any promises, warranties, guarantees or representations in relation to the RepostExchange platform, which is provided “as is”. In particular, we don’t warrant as to its availability, accuracy, fitness for purpose or merchantability.

Computer configuration. You’re responsible for configuring your own computer and software to access RepostExchange. We don't warrant that the way we deliver data to you is compatible with your software or device. Although we do our best to protect our website and app, we’re not responsible for any viruses, bugs or similar issues. We suggest you have your own virus protection software to protect yourself.

9. Limitation of liability

What we’re responsible for. If we don’t comply with these Terms, we’re only responsible for loss or damage you suffer that is a foreseeable result of our breaching these Terms or failing to use reasonable care and skill. We’re not responsible for any loss or damage that isn’t foreseeable.

Our liability. We don’t exclude or limit our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, fraud or breach of statutory duty.

What we’re not liable for. We’re not liable to you for:

  • SoundCloud actions. Any actions taken by SoundCloud that have any impact on you or are outside of our control. That includes if SoundCloud changes its functionality in any way, prevents us from using their API or takes action against you because of your use of RepostExchange. In such case, we won’t be liable to refund any fees you’ve paid us.
  • Availability of RepostExchange. Any technical faults or downtime which result in RepostExchange becoming temporarily or permanently unavailable.
  • Third party links. Any loss or damage you suffer as a result of clicking third party links on the RepostExchange platform – we aren’t responsible for nor do we have any control over these.
  • Actions of other members. The actions or inactions of other members on the RepostExchange platform. We don’t guarantee that other members will repost your tracks or engage with you in the way you want.
  • Suspension and termination. If we believe you are in breach of our Terms or any other policy on our website, we’ll take whatever steps we think are necessary to address this, including stopping your use of RepostExchange temporarily or permanently, removing material you have put on the platform or any of our social media groups, sending you a formal warning, taking legal action and / or telling the relevant authorities. We won’t be held liable for any of your costs arising from any actions we take to deal with any breach of our Terms or any of our policies.

10. Termination

Term. These Terms will continue to apply until terminated by either you or us.

When we can terminate. We may terminate these Terms or suspend your access to RepostExchange where:

  • You breach these Terms,
  • You have a Paid Plan and you don’t pay us (either directly or via a chargeback), or
  • We’re required to by a court or similar order.

If we do terminate these Terms or suspend your access for any of the reasons above, we have no liability or responsibility to you and we won’t refund any amounts that you have already paid, even where you would otherwise be eligible for a refund under these Terms.

Where you can terminate. You can terminate these Terms at any time by closing your account. Where you have a Paid Plan, subscription fees for the month in which you close your account will be due and payable, as well as any outstanding fees you owe us which will become payable immediately upon termination.

11. Other important terms

We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another company.

Nobody else has any rights under these Terms. These Terms are a contract between you and us. No other person shall have any rights to enforce any of its terms and the Contracts (Rights of Third Parties) Act 1999 is excluded.

Notice for parents. If you allow your child to use RepostExchange, we advise you to explain the risks as moderation is not always effective. Please contact us if you have a concern about moderation.

If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Even if we delay in enforcing this contract, we can still enforce it later. If we don’t immediately insist that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, we can still do so later on.

Governing law and jurisdiction. These terms are governed by English law and the courts of England and Wales have exclusive jurisdiction in respect of them.

Complaints. If you have any questions or a complaint about the service provided by us, please contact support@repostexchange.com to make your complaint.
